Wholesale Terms + Conditions

These Wholesale Terms & Conditions ("Terms") govern the wholesale relationship between Kate Hewko Corp. ("Kate Hewko," "we," "us," or "our") and approved wholesale accounts ("Buyer," "you," or "your"). By submitting a wholesale application or placing an order, you agree to be bound by these Terms in addition to our Returns & Refund Policy, Shipping Policy, and Ordering & Minimums page.

1. Account Approval

All wholesale accounts are subject to application and approval at our sole discretion. We reserve the right to accept, decline, or terminate any wholesale account at any time, for any reason, including but not limited to concerns about brand fit, business legitimacy, or account conduct.

2. Orders

All orders are subject to the minimums outlined in our Ordering & Minimums page and full payment at time of order. We reserve the right to accept or decline any order, in whole or in part, at our discretion. Order confirmation does not guarantee availability of all items; we will notify you of any changes affecting your order.

3. Pricing

Wholesale pricing, line sheets, and catalogs provided to you are confidential and intended solely for your use as an approved Kate Hewko wholesale account. They may not be shared, distributed, or published without our written consent. Pricing is subject to change without notice and does not apply retroactively to confirmed orders.

4. Resale

Products purchased through Kate Hewko wholesale are intended for resale through your retail business only. Products may not be resold on third-party marketplaces (including but not limited to Amazon, eBay, Poshmark, or similar platforms) without our prior written consent. Products may not be altered, relabeled, or misrepresented as another brand.

5. Use of Brand Assets

Any product photography, brand imagery, or marketing materials provided by Kate Hewko may be used solely for the promotion and resale of Kate Hewko products by your business. Our name, logo, and trademarks may not be used in a way that implies endorsement, partnership, or affiliation beyond that of an authorized stockist without our written consent.

6. Payment

Payment in full is required at the time of order to confirm production. Shipping is invoiced separately at actual cost once your order is ready to ship, as outlined in our Shipping Policy. We reserve the right to withhold shipment of any order until payment in full has been received.

7. Account Termination

We reserve the right to suspend or terminate a wholesale account at any time, at our discretion, including for breach of these Terms, non-payment, unauthorized resale, or conduct that we determine is not aligned with the Kate Hewko brand. Termination does not affect obligations arising from orders placed prior to termination.

8. Limitation of Liability

To the fullest extent permitted by law, Kate Hewko Corp. shall not be liable for any indirect, incidental, or consequential damages arising from the wholesale relationship, including but not limited to lost profits or business interruption.

9. Changes to These Terms

We may update these Terms from time to time. Continued use of your wholesale account after changes are posted constitutes acceptance of the updated Terms.

10. Governing Law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.
